End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you ("Client", "User", or "Licensee") and AMAG, located at 145 Tremont St, Boston, MA 02111 (“AMAG,” “we,” “our,” or “us”), regarding your use and ownership of the custom-built AI inbound/outbound caller agent and any associated deliverables (“Licensed Product”) provided by AMAG as part of your marketing package.

By purchasing or using the Licensed Product, you agree to be bound by the terms of this Agreement. If you do not agree, you may not use or retain the Licensed Product.

1. Grant of License

Upon full payment for the service—either through a one-time upfront payment or completion of a subscription commitment—AMAG grants you a perpetual, non-exclusive, non-transferable license to use the Licensed Product within your business operations.

You may:

  • Use the AI caller agent indefinitely to engage with your leads and customers

  • Host, run, and maintain the agent on your own systems or through AMAG (if under continued support or hosting plan)

  • Access all custom scripts, voice flows, call handling logic, and integrations delivered with the Licensed Product

This license is granted only after the full cost of the service has been paid.

2. Ownership and Restrictions

The specific AI caller agent built for your business becomes your property after full payment. However, AMAG retains full ownership of:

  • The frameworks, proprietary backend systems, and logic libraries used to build the AI agent

  • The AMAG brand, branding elements, and any shared internal tools or templates

You may not:

  • Sell, sublicense, or transfer the AI agent to another business

  • Clone or modify the Licensed Product to operate for a different brand or third party

  • Use AMAG’s backend logic or internal tools outside of what was provided for your use

  • Remove, alter, or conceal any notices referencing AMAG’s authorship or branding if included

3. Payment & License Activation

You do not own or receive a license to use the Licensed Product until:

  • Full payment is made upfront (Option A), or

  • You have completed the required 3-month subscription commitment (Option B)

If you cancel service or fail to pay prior to this point, all rights to the Licensed Product are retained by AMAG.

4. Termination

AMAG may terminate this license:

  • If you fail to complete payment in full

  • If you breach any terms of this Agreement

  • If you attempt to use or replicate the Licensed Product beyond the permitted use case

Upon termination:

  • You must cease use of any part of the Licensed Product

  • You may not retain, distribute, or repurpose any components built by AMAG

  • Your access to AMAG support or hosting will end immediately (if applicable)

Client-Initiated Termination:

  • You may discontinue service at any time, but ownership and license only transfer upon full payment

  • Cancellation before completion of payment voids your right to the final product

5. Disclaimer of Warranty

The Licensed Product is provided on an “as-is” and “as-available” basis. AMAG makes no guarantees regarding:

  • Call quality, lead volume, or sales performance

  • Integration success with external platforms not controlled by AMAG

  • Continuous uptime or error-free operation, unless under an active support contract

AMAG disclaims all warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose.

6. Limitation of Liability

To the maximum extent permitted by law, AMAG shall not be liable for:

  • Any indirect, incidental, consequential, or special damages

  • Loss of revenue, business, data, or goodwill

  • Technical or operational failures caused by third-party platforms (e.g., Meta, CRM providers, phone carriers)

In all cases, AMAG’s total liability shall not exceed the amount paid by the Client in the 30 days preceding a claim.

7. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law rules.
