Welcome to AMAG (“we,” “our,” “us”), an AI-powered marketing agency delivering inbound and outbound AI caller agents alongside paid advertising solutions. These Terms of Service (“Terms”) govern your use of our services. By accessing or purchasing any of our services, you agree to these Terms in full.

If you do not agree with any part of these Terms, please do not use our services.

1. Services Offered

AMAG provides marketing automation solutions to service-based businesses, including:

  • AI-powered inbound and outbound caller agents, custom-built for your business needs

  • Facebook advertising setup and campaign management, where clients fund all ad spend directly

Our services are intended to help you generate more leads, streamline communication with prospects, and stay competitive in your local market. We do not guarantee specific lead volumes, sales, or financial outcomes.

2. User Responsibilities

To ensure a smooth experience and the successful delivery of our services, clients agree to:

  • Provide accurate and complete business information during onboarding (e.g., business hours, services offered, location, call handling preferences)

  • Fund Facebook ad spend directly through your own Facebook Business Manager account

  • Grant necessary access to platforms required to deliver your services (e.g., ad accounts, CRM, website, calendars)

  • Respond promptly to communication from AMAG’s team for feedback, performance updates, or troubleshooting

  • Use the AI caller and ad services only for lawful business purposes, in compliance with all relevant laws including marketing regulations, privacy laws, and telecommunication standards

  • Avoid tampering with, copying, or attempting to replicate our proprietary backend systems, frameworks, or logic

Failure to fulfill these responsibilities may impact the effectiveness of the service and may result in termination of your service access and support.

3. Payment Terms

We offer two service options:

Option A – Full Payment

  • Clients pay the full amount of the selected service upfront before the AI system build and ad setup begins

  • This option is non-cancellable once initiated

Option B – Subscription Plan

  • Clients commit to a minimum three-month subscription

  • Subscription is billed monthly, starting from the date of onboarding

  • Cancellation is only allowed after the 3-month commitment, with written notice provided at least 7 days before the next billing cycle

  • All payments are non-refundable unless explicitly stated in our Refund Policy (if applicable).

4. Account Termination
By AMAG:

AMAG may suspend or limit your active service access (e.g., hosting, dashboard, support) without prior notice if:

  • You fail to make timely payments

  • You breach these Terms or misuse AMAG’s services

  • You provide false, misleading, or incomplete information

  • You interfere with AMAG’s systems or services

  • You engage in any conduct that damages AMAG’s business, reputation, or clients

However, once the full payment is completed (either upfront or after fulfilling the 3-month subscription), the AI inbound/outbound caller agent becomes your permanent asset. AMAG cannot revoke ownership or access to the final version delivered to you.

By Client:

  • Subscription clients (Option B) may cancel after the 3-month minimum by providing 7 days’ notice before the next billing cycle.

  • Full-payment clients (Option A) are not eligible for cancellation once service has started.

Upon termination:

  • Access to active support, campaign dashboards, hosting, or future upgrades will be revoked

  • You retain full rights to use and host your delivered AI agent indefinitely

5. Disclaimer and Limitation of Liabilit

Disclaimer:

  • AMAG makes no guarantees regarding the number of leads, conversions, or ROI

  • Services are provided "as-is" and "as-available"

  • Results depend on multiple factors, including industry, ad budget, location, and client responsiveness

Limitation of Liability:

In no event shall AMAG, its owners, employees, contractors, or affiliates be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profit, or data.

AMAG’s total liability for any claim shall not exceed the amount paid by the client within the 30 days preceding the issue.

6. Intellectual Property

AMAG retains ownership of the frameworks, backend logic, development tools, and proprietary systems used to build your AI agent.

However, once full payment is completed:

  • The custom AI caller agent delivered to you becomes your business asset

  • You receive a perpetual, non-exclusive license to use that product for your business

  • You may not replicate, resell, or redistribute AMAG’s proprietary frameworks or brand under any circumstance

7. Modifications to Terms

AMAG may update these Terms periodically. Clients will be notified via email or their dashboard. Continued use of AMAG services after an update constitutes your acceptance of the new Terms.

8. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.
